1. Eligibility

You must be at least 13 years of age or the age of legal majority in your jurisdiction (whichever is greater) to use the Service. By using the Service, you represent and warrant that you meet this requirement.

2. Account Registration & Authentication

To access certain features of the Service, you must register an account. You may authenticate via third-party providers including, but not limited to, Google OAuth and GitHub OAuth.

You are solely responsible for:
• Maintaining the confidentiality of your account credentials.
• All activities that occur under your account.

You agree to immediately notify us of any unauthorized use of your account.

3. Use of the Service

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable right to use the Service for your personal or internal business use.

You agree not to:
• Copy, reproduce, modify, or create derivative works of the Service.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Access the Service for the purpose of building a competing product or service.
• Use the Service in any unlawful manner or for any unlawful purpose.

4. Fees and Payment

Certain features or components of the Service may require payment. All payments are processed by a third-party provider (Polar.sh), and your use of such services is subject to their terms and privacy policies.

By purchasing a subscription or feature:
• You authorize us and our payment processor to charge applicable fees.
• Fees are non-refundable except as expressly provided in writing.
• We reserve the right to change pricing at our discretion, with notice to you.

5. Third-Party Services

The Service integrates with third-party platforms, including but not limited to:
• Google (Gmail and Calendar APIs)
• GitHub
• Supabase
• Polar.sh

Use of these third-party services is governed by their respective terms and privacy policies. We are not responsible for any acts or omissions of third-party providers.

6. Data Access and Privacy

By using the Service, you authorize us to access certain information (e.g., Gmail metadata, calendar events) strictly for the purpose of delivering the Service's functionality.

You may revoke this access at any time by disconnecting your account, which will result in deletion of related data from our systems.

Our collection, use, and disclosure of personal data is governed by our Privacy Policy, which is incorporated herein by reference.

7. Termination

You may terminate your use of the Service at any time by deleting your account or ceasing use. We reserve the right to suspend or terminate your access to the Service, in whole or in part, at our sole discretion, for any reason or no reason, including without limitation your breach of these Terms.

Upon termination:
• Your right to use the Service will immediately cease.
• Certain data may be retained as required by law or for legitimate business purposes.

8. Intellectual Property

All rights, title, and interest in and to the Service, including all content, features, software, and intellectual property rights, are and shall remain the exclusive property of TENXAICLUB INC. and its licensors.

You may not use our trademarks, branding, or logos without our express written consent.

9. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, express or implied. To the fullest extent permitted by law, we disclaim all warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that the Service will be uninterrupted, secure, or error-free.

10. Limitation of Liability

To the maximum extent permitted by law, in no event shall TENXAICLUB INC., its affiliates, officers, directors, employees, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, or goodwill, arising out of or related to your use of the Service.

Our aggregate liability shall not exceed the amount you paid, if any, to access the Service in the twelve (12) months preceding the event giving rise to the claim.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, USA. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Delaware.

12. Modifications

We may revise these Terms from time to time at our sole discretion. If we make material changes, we will notify you via email or through the Service. Your continued use after such changes constitutes your acceptance of the updated Terms.
